Úvodní kapitola disertační práce vymezuje koncern prostřednictvím jeho předpokladů, a to se zvláštním s akcentem na „koncernový zájem“. Pozornost je proto věnována také organizačním schématům koncernů a řízení odpovědnosti v koncernech. Závěrem jsou identifikována specifika obchodního vedení v koncernech. Úvodní kapitola tvoří také teoretický rámec pro analýzu v druhé kapitole disertační práce. Druhá kapitola disertační práce se snaží odpovědět v první řadě na to, jakým způsobem budou modifikovány fiduciární povinnosti člena statutárního orgánu řízené akciové společnosti koncernovými pokyny a za jakých podmínek budou tyto pokyny závazné. Pozornost je také věnována některým dílčím problémům, které vyvstávají v souvislosti s povinností statutárního orgánu řízené akciové společnosti vypracovat zprávu o vztazích mezi propojenými osobami. Třetí kapitola disertační práce popisuje evropský pohled na danou problematiku. Čtvrtá kapitola disertační práce je věnována mezinárodnímu pohledu na danou problematiku. Attention is also paid to some of the sub-issues that arise in connection with the obligation of the statutory body of a controlled joint stock company to draw up a report on relations between related parties. The third chapter of the dissertation describes the European perspective on the issue. The fourth chapter of the dissertation is devoted to the international perspective on the issue. Within the international community, a considerable diversity of views on the existence of corporate groups can be identified. Among the states interested in regulating business groups, three dominant approaches can be seen, represented by Germany, the United Kingdom and France.
