Preliminary scope of work
Cílem mé diplomové práce je představit základní způsoby řešení mezinárodních investičních sporů se zaměřením především na arbitrážní řízení prováděná tribunály Mezinárodního střediska pro řešení sporů z investic, dále pouze ICSID. Hlavním cílem této práce ve spojení s problematikou ICSIDu je kriticky zhodnotit situaci, která v současnosti existuje v právu mezinárodních investičních arbitráží kvůli absenci odvolacího mechanismu v systému ICSIDu a navrhnout vhodné řešení tohoto problému. Toto zhodnocení zahrnuje jak popis současných možností přezkumů, tak návrh odvolacího orgánu a jeho případných alternativ.
Diplomová práce se skládá ze tří kapitol. První kapitola slouží jako úvod do problematiky a zabývá se základním pojmoslovím mezinárodního investičního práva. Věnuje se definování pojmů investice a investor, tj. pojmů, které jsou nezbytné pro pochopení podstaty mezinárodních investičních sporů. Práce definuje pojmy především za použití rozhodovací praxe tribunálů ICSIDu.
Druhá kapitola se zabývá jednotlivými metodami řešení sporů z investic. Kapitola nejprve zmiňuje diplomatickou ochranu jako metodu užívanou především v minulosti, a poté popisuje roli, kterou v řešení mezinárodních investičních sporů hrají vnitrostátní soudy. Tato část práce zmiňuje také smírčí řízení. Největší pozornost je v této kapitole věnována arbitráži a různým institucím, které arbitrážní řízení provádějí.
Třetí kapitola se zaměřuje na arbitrážní řízení prováděná pod záštitou ICSIDu. Kapitola popisuje jak organizační strukturu ICSIDu, tak i jeho arbitrážní mechanismus a jurisdikci. Druhá část této kapitoly se pak již plně zaměřuje na otázku nepřítomnosti odvolacího mechanismu v systému ICSIDu. Kapitola se zprvu věnuje možnostem přezkumu, které jsou k dispozici stranám sporu dle současné úpravy, a poté rozebírá situaci, která existuje v systému mezinárodních investičních arbitráží zaštítěných ICSIDem v důsledku neexistence odvolacího orgánu, a to především se zaměřením na nekonzistentnost rozhodovací praxe ICSIDu. Práce v této části kapitoly dále představuje návrh odvolacího orgánu, který by byl vhodný k začlenění do systému ICSIDu. Práce ve svém závěru představuje také alternativy k ustavení odvolacího orgánu, které by mohly alespoň zčásti vyřešit problém výše zmíněné nekonzistentnosti v rozhodovací praxi.
Preliminary scope of work in English
The purpose of my thesis is to introduce the basic types of settlement of international investment disputes while focusing especially on arbitration proceedings conducted by tribunals of the International Centre for Settlement of Investment Disputes, hereinafter referred to as ICSID. The main purpose of the thesis in this respect is to critically evaluate the situation that currently exists in international investment arbitration due to the absence of an appellate review mechanism in ICSID system and to suggest solutions to this problem. The evaluation includes both a description of current possibilities of review and a proposal of an appellate body along with alternatives thereto.
The thesis is composed of three chapters. The first chapter is introductory and concerns the basic terminology of international investment law. It focuses on defining the terms investment and investor, i.e. terms that are essential for comprehension of the nature of international investment disputes. It defines the terms using mainly the ICSID case law.
The second chapter deals with the individual methods of settlement of investment disputes. First it mentions diplomatic protection as a method used especially in past. It also mentions conciliation proceedings and describes the role domestic courts play in the settlement of investment disputes. The biggest attention is paid to arbitration and different institutions providing for arbitration proceedings.
The third chapter concentrates on arbitration provided for by ICSID. It describes the organizational structure as well as the arbitration mechanism and jurisdiction of ICSID. The second part of the chapter fully focuses on the matter of absence of appellate review mechanism in the ICSID system. It describes the possibilities of review that are currently available to parties. Then it analyses the situation which has arisen in ICSID arbitration due to the absence of an appellate body, i.e. especially the inconsistency in decisions rendered by ICSID tribunals, and introduces a proposal of constitution of such a body. It also presents alternatives to the constitution of the appellate body that might at least temporarily deal with the problem of the above-mentioned inconsistency.
